TERMS AND CONDITIONS

Welcome to the website of Blue Capital LLC, doing business as Blu Capital (“Blu Capital,” “Blu,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of Blu Capital's websites, digital platforms, applications, content, research, communications, tools, and other online services that link to these Terms (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, please do not use the Site.

These Terms apply to use of the Site. They do not replace or modify any investment advisory agreement, subscription agreement, account agreement, custodial agreement, or other written agreement between Blu Capital and a client or investor. If there is a conflict between these Terms and a separately executed agreement governing services provided to you by Blu Capital, the executed agreement will control with respect to those services.

1. About Blu Capital

Blu Capital is an investment management and advisory firm based in Washington, D.C.

Investment advisory services are offered only in jurisdictions where Blu Capital and its investment adviser representatives are appropriately registered, licensed, notice-filed, or otherwise permitted or exempt from such requirements.

Nothing on this Site should be interpreted as stating or implying that any governmental authority, securities regulator, or other regulatory organization has sponsored, approved, recommended, or endorsed Blu Capital, its personnel, its services, or any investment described on the Site.

2. For Informational Purposes Only

Unless expressly stated otherwise in a written agreement with Blu Capital, information made available through this Site is provided for general informational and educational purposes only.

The Site does not, by itself:

constitute personalized investment advice;
create an investment advisory, fiduciary, brokerage, client, or other professional relationship;
constitute an offer to sell or a solicitation of an offer to purchase any security, investment product, or investment advisory service;

6. Performance Information

The Site may from time to time include performance information, portfolio statistics, benchmarks, investment results, model results, hypothetical results, backtested results, projections, or similar information.

Where presented, such information is subject to the accompanying disclosures, assumptions, methodologies, limitations, calculation periods, fees, expenses, and other qualifications.

Performance information may differ depending on, among other things:

portfolio composition;
investment restrictions;
transaction timing;
fees and expenses;
taxes;

custodial arrangements; and
individual client circumstances.

Such technologies are tools and may have limitations. Outputs may be incomplete, inaccurate, outdated, based on incorrect assumptions, or affected by errors in underlying data or models.

Unless expressly provided under a separate written agreement, information or output generated through an automated or AI-enabled feature of the Site does not constitute personalized investment advice and should not be relied upon as the sole basis for an investment decision.

Blu Capital may incorporate human review, professional judgment, risk controls, and other processes when using technology in connection with advisory services. The existence or use of technology does not eliminate investment risk.

Nothing on the Site should be interpreted as representing that artificial intelligence, algorithms, or other technologies can predict markets, eliminate losses, guarantee investment results, or consistently identify profitable investments.

9. Third-Party Data and Information

The Site may contain information obtained from third-party sources that Blu Capital believes to be reliable. However, Blu Capital does not guarantee the accuracy, completeness, timeliness, or reliability of third-party information.

Market data, security prices, financial information, analyst estimates, economic data, indexes, ratings, research, and similar information may be provided by third parties and may contain errors or delays.

Blu Capital is not obligated to independently verify all third-party information displayed or referenced on the Site.

10. Third-Party Websites and Services

The Site may contain links to websites, applications, custodians, financial institutions, service providers, publications, social media platforms, or other resources operated by third parties.

These links are provided for convenience or informational purposes and do not necessarily constitute an endorsement, recommendation, sponsorship, or approval of the third party or its products or services.

Blu Capital does not control and is not responsible for the content, security, privacy practices, availability, accuracy, or operation of third-party websites or services.

11. Custodians and Other Financial Institutions

Where Blu Capital provides investment advisory services, client assets may be maintained with one or more independent qualified custodians or financial institutions.

Blu Capital is not a bank and does not accept deposits.

Unless expressly provided under a separate written agreement and permitted by applicable law, nothing on this Site should be understood as offering banking, money-transmission, deposit-taking, brokerage, custody, or payment-processing services.

Services provided by custodians, banks, brokers, or other financial institutions are governed by separate agreements between those institutions and their customers.

12. Client Portals and Account Information

Certain portions of the Site may permit clients or authorized users to access account information or other restricted content.

You are responsible for protecting your login credentials and maintaining the confidentiality of your account information.

You agree not to:

share credentials with unauthorized persons;
attempt to access another person's account;
circumvent security controls;
interfere with the operation or security of the Site; or
use the Site for fraudulent, unlawful, or unauthorized purposes.

You should notify Blu Capital promptly if you believe your account credentials or access to the Site have been compromised.

Information displayed through a client portal may be provided by custodians or third-party systems. In the event of a discrepancy, official records maintained by the applicable custodian or financial institution generally control.

13. Electronic Communications and Instructions

Electronic communications involve risks, including delays, interception, transmission failures, malware, unauthorized access, and other security issues.

Unless Blu Capital has expressly agreed otherwise, you should not rely on ordinary email, website forms, text messages, social media, or similar communications to transmit urgent trade instructions, withdrawal requests, account changes, or other time-sensitive instructions.

Instructions concerning client accounts are subject to Blu Capital's established verification, authorization, and operational procedures.

14. Intellectual Property

Unless otherwise indicated, the Site and its content, including text, research, graphics, logos, trademarks, designs, photographs, videos, software, analyses, methodologies, reports, and other materials, are owned by or licensed to Blu Capital and are protected by applicable intellectual property laws.

You may access and use the Site for your personal, non-commercial use.

Without Blu Capital's prior written consent, you may not reproduce, distribute, modify, publicly display, republish, sell, license, scrape, systematically download, create derivative works from, or commercially exploit material from the Site except as permitted by law.

“Blu Capital,” Blu Capital's logos, and related names and marks are trademarks or service marks of Blu Capital or their respective owners. No license to use such marks is granted except as expressly provided in writing.

15. Permitted Use

You agree to use the Site only for lawful purposes.

You may not:

use the Site in violation of any applicable law or regulation;
attempt to obtain unauthorized access to the Site or its systems;
interfere with the Site's operation or security;
introduce malicious software, viruses, automated attacks, or harmful code;

Additional privacy notices may apply to clients or other individuals depending on the nature of their relationship with Blu Capital and applicable law.

17. Website Availability and Cybersecurity

Blu Capital endeavors to maintain the reliability and security of its technology systems but does not guarantee that the Site will always be available, uninterrupted, error-free, or free from viruses, malware, cybersecurity threats, technical defects, or other harmful components.

Blu Capital may modify, suspend, restrict, or discontinue any part of the Site at any time.

You are responsible for maintaining appropriate security and backup procedures for the devices and systems you use to access the Site.

18. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

Nothing in this provision limits any duty, obligation, or liability that cannot lawfully be waived.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLU CAPITAL AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE.

Nothing in these Terms is intended to waive, limit, or disclaim any right or remedy that cannot lawfully be waived under federal or state securities laws or other applicable law.

Nothing in these Terms modifies Blu Capital's fiduciary obligations to advisory clients where such obligations apply.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Blu Capital and its members, managers, officers, employees, representatives, affiliates, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the Site, your material violation of these Terms, or your infringement of the rights of another person.

This provision does not apply to the extent prohibited by applicable law.

21. Regulatory and Legal Disclosures

Information concerning Blu Capital's regulatory status, services, fees, conflicts of interest, disciplinary history, and other required disclosures, where applicable, is contained in Blu Capital's regulatory filings and disclosure documents.

Prospective and current clients should carefully review all applicable disclosure documents and agreements before engaging Blu Capital's services.

Registration or licensing of an investment adviser does not imply any particular level of skill, training, experience, or approval by a securities regulator.

22. Geographic Restrictions

The Site is operated from the United States.

The availability of information on the Site does not represent that Blu Capital's services are available or legally permissible in every jurisdiction.

Persons accessing the Site from outside the United States are responsible for complying with applicable local laws.

Blu Capital reserves the right to limit access to services based on jurisdiction, regulatory requirements, investor eligibility, or other considerations.

23. Changes to These Terms

Blu Capital may update these Terms from time to time to reflect changes in its services, technology, business practices, or applicable law.

The revised Terms will be posted on the Site with an updated “Last Updated” date.

Your continued use of the Site following publication of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Material changes affecting existing advisory relationships will be handled in accordance with applicable law and the relevant advisory agreements.

24. Termination or Restriction of Access

Blu Capital may suspend or terminate access to some or all of the Site if reasonably necessary for security, operational, legal, regulatory, or other legitimate purposes.

Termination of website access does not alter obligations arising under a separately executed agreement between Blu Capital and a client or other party.

25. Governing Law and Venue

Except where otherwise required by applicable law or provided in a separately executed agreement, these Terms and disputes relating solely to use of the Site will be governed by the laws of the District of Columbia, without regard to conflict-of-law principles.

Subject to any non-waivable rights under applicable law, proceedings concerning these Terms that are not governed by a separate written agreement may be brought in an appropriate state or federal court located in the District of Columbia.

Nothing in this section waives any right, remedy, or forum that cannot lawfully be waived.

Any dispute arising from an investment advisory relationship will instead be governed by the applicable investment advisory agreement and applicable law.

26. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

27. No Waiver

Blu Capital's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

28. Entire Agreement Regarding Website Use

These Terms, together with the Privacy Policy and any other notices expressly incorporated into them, constitute the agreement between you and Blu Capital concerning general use of the Site.

They do not replace any investment advisory agreement, offering document, custodial agreement, confidentiality agreement, or other separately executed agreement.
